Terms of Use – Authority Engine, LLC (Oklahoma) 1. Acceptance of Terms By accessing or using the website located at https://www.authority-engine.ai/ (the “Site”) and any related services, content, or materials (collectively, the “Services”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you must not use the Site or Services.

2. About the Company and Eligibility - The Site and Services are operated by Authority Engine, LLC, an Oklahoma limited liability company (“Authority Engine,” “we,” “us,” or “our”), with its principal place of business in the State of Oklahoma. 3. Services and No Guarantees - Authority Engine provides AI-based authority infrastructure, Answer Engine Optimization, and related advisory and marketing services for businesses. The Services are for business and informational purposes only and do not guarantee any specific rankings, traffic levels, revenue, or other business outcomes.

4. Intellectual Property All content on the Site, including text, graphics, logos, designs, software, and other materials, is owned by or licensed to Authority Engine, LLC and protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from any content without our prior written consent.

5. License and Permitted Use - Authority Engine grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for evaluating and/or using the Services for your internal business purposes. Any scraping, automated data collection, reverse engineering, or use of the Site or content to develop or support competing services is prohibited.

6. User Content and Feedback - If you submit content, testimonials, inquiries, or feedback, you grant Authority Engine, LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content for operating, improving, and promoting the Services, subject to applicable privacy laws and any separate written agreements.

Limitation of Liability - To the maximum extent permitted by Oklahoma law, Authority Engine, LLC and its members, managers, officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from or related to your use of the Site or Services, even if advised of the possibility of such damages. To the extent any liability is found, the total aggregate liability of Authority Engine, LLC shall not exceed the greater of (a) the amounts you paid to us for the Services in the six (6) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).

Indemnification - You agree to indemnify, defend, and hold harmless Authority Engine, LLC and its members, managers, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or Services, (b) your violation of these Terms, or (c) your violation of any rights of a third party.

12. Modifications to the Site and Terms - Authority Engine, LLC may update, modify, or discontinue any part of the Site or Services at any time. We may also revise these Terms periodically. The “Last Updated” date will indicate the latest version. Your continued use of the Site after any changes become effective constitutes your acceptance of the revised Terms.

Governing Law and Venue - These Terms and any dispute or claim arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Oklahoma, without giving effect to its conflict of law principles. You agree that the exclusive jurisdiction and venue for any legal action or proceeding arising out of or relating to these Terms or the Services shall be in the state or federal courts located in Oklahoma County, Oklahoma, and you consent to the personal jurisdiction of such courts.

14. Termination Authority Engine - LLC may suspend or terminate your access to the Site or Services at any time, with or without cause or notice. Upon termination, all rights granted to you under these Terms will immediately cease, and you must stop using the Site and Services.

15. Miscellaneous - If any provision of these Terms is held invalid or unenforceable under applicable Oklahoma law, the remaining provisions will remain in full force and effect. No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other. These Terms constitute the entire agreement between you and Authority Engine, LLC regarding your use of the Site, unless supplemented by a separate written agreement.
