Authority Engine 90‑Day Challenge Guarantee - Terms and Conditions

1. Overview of the Promotion - The Authority Engine “90‑Day Challenge Guarantee” (the “Promotion”) is a limited‑time performance guarantee offered by Authority Engine LLC (“Authority Engine,” “we,” or “us”) to eligible business clients that purchase designated Authority Engine services (the “Services”). Under this Promotion, if you meet all eligibility and implementation requirements and are not satisfied with your growth results after 90 days, Authority Engine will provide an all‑inclusive Caribbean cruise for two, subject to the terms set out below, in lieu of any refund. This Promotion is a marketing guarantee, not an investment or earnings promise.

​2. Eligibility
2.1 Qualified businesses only
The Promotion is open only to legal business entities (e.g., corporations, LLCs, partnerships) operating in good standing and purchasing the Services for commercial (B2B) purposes. Consumers and individuals purchasing for personal or household use are not eligible.​

2.2 Ideal Customer Profile (ICP)
To qualify, your business must reasonably fit Authority Engine’s ideal customer profile, which may include minimum annual revenue, team size, or specific technology stack. Authority Engine will confirm eligibility during the sales and onboarding process and reserves the right to decline participation if your profile falls outside the intended scope of the Promotion.​2.3 New customers only
The Promotion is available only to new Authority Engine customers who:
  • Have not previously purchased the Services included in this Promotion; and
  • Execute a new service agreement that expressly references the 90‑Day Challenge Guarantee.
2.4 Geographic and legal limits
The Promotion is void where prohibited by law and is only available in jurisdictions where Authority Engine can legally provide the cruise benefit. Authority Engine may restrict eligibility based on country, state, or local regulations relating to promotions, incentives, or travel benefits.

​2.5 Promotion period
The Promotion applies only to agreements signed during the stated promotional window as specified on the campaign web page or in your service agreement. Authority Engine may end or modify the Promotion prospectively at any time, but any changes will not affect clients who have already entered into an eligible agreement.

3. Services Covered
3.1 Covered packages
Only specific Authority Engine packages or programs designated on the campaign web page or in the service agreement qualify for this Promotion. Custom or one‑off projects, audits, or advisory engagements may be excluded unless explicitly stated.

3.2 Service agreement required
Participation requires a signed service agreement (“Service Agreement”) outlining scope, timelines, fees, responsibilities, and the specific metrics and goals that apply to your 90‑day engagement. In the event of conflict, the Service Agreement will prevail over these Terms except where prohibited by law.

4. Baseline Metrics and 90‑Day Goals
4.1 Documented starting point
Prior to the start of the 90‑day period, you and Authority Engine will document baseline metrics such as, where applicable:
  • Website or funnel traffic
  • Conversion rates (e.g., lead, demo, opportunity, purchase)
  • Lead volume and/or pipeline value
  • Revenue or other agreed indicators of demand generation or authority
These baselines, along with specific 90‑day objectives, will be captured in writing in the Service Agreement or in an attached statement of work.

​4.2 Measurement framework
You agree to implement or maintain reasonable tracking via analytics, marketing platforms, and CRM, and to provide Authority Engine with read access as necessary to measure performance throughout the 90‑day period.

5. Client Responsibilities
5.1 Access and collaboration
To remain eligible for the guarantee, you must:
  • Provide timely access to required systems (analytics, CRM, ad platforms, CMS, marketing automation tools, etc.).
  • Provide necessary brand assets, approvals, and subject‑matter input within mutually agreed timeframes.
  • Assign at least one internal stakeholder to act as primary point of contact.
5.2 Implementation of recommendations
The Promotion requires “good‑faith implementation” of Authority Engine’s recommendations. This includes making commercially reasonable efforts to implement agreed copy, creative, offers, page changes, and campaigns within the timeframes set out in the project plan.

5.3 Review cadence
You agree to participate in scheduled review calls or meetings (e.g., at approximately 30, 60, and 90 days) to review performance, make decisions on tests, and approve next steps. Failure to attend or reschedule within a reasonable time may affect eligibility for the guarantee.

5.4 Payment obligations
All fees due under the Service Agreement must be paid in full and on time throughout the 90‑day period. Late or missing payments may void the guarantee.

6. What the Guarantee Covers
6.1 Nature of the guarantee
If, at the end of the 90‑day period, you:
  • Have met all eligibility and implementation requirements in Sections 2 and 5; and
  • Are not reasonably satisfied with your growth results, based on the agreed metrics and goals;
Then Authority Engine will provide the cruise benefit described in Section 7. This is the sole and exclusive remedy under the Promotion. No cash refunds or credits are offered in connection with this guarantee.

​6.2 “Not satisfied” standard
You agree to participate in a final 90‑day review meeting where both parties review the data against the agreed goals. If, after this review, you determine in good faith that you are not satisfied with the growth achieved, you may submit a written claim for the guarantee as described in Section 8.

7. Cruise Benefit
7.1 Description of benefit
Subject to these Terms, Authority Engine will arrange and pay for an all‑inclusive Caribbean cruise for two adults (the “Cruise Benefit”) up to a maximum value, length, and cabin category specified in your Service Agreement (for example, a 5–7‑night cruise in an ocean‑view or balcony stateroom, including standard meals and select onboard amenities).​

7.2 What is not included
Unless expressly stated otherwise in writing, the Cruise Benefit does not include:
  • Airfare or transportation to and from the departure port
  • Travel insurance or medical coverage
  • Visas, passports, or other travel documents
  • Shore excursions, onboard purchases, gratuities, or other incidental charges
  • Any upgrades beyond the defined package
All such costs are your responsibility.

7.3 No cash equivalent
The Cruise Benefit has no cash value, is non‑refundable, and may not be exchanged for cash, service credits, or alternative prizes, except where required by law.

7.4 Non‑transferable and time‑limited
The Cruise Benefit is limited to the client organization and its designated travelers and may not be sold, transferred, or assigned. It must be booked and commenced within the redemption window specified in the Service Agreement (for example, within 12 months of approval), or it will be forfeited.

7.5 Not sponsored by cruise lines
The Promotion and the Cruise Benefit are offered solely by Authority Engine and are not sponsored, endorsed, administered, or associated with any cruise line or travel provider.

​8. How to Claim the Guarantee
8.1 Notice period
To claim the guarantee, you must notify Authority Engine in writing (email is sufficient if acknowledged) within 15 calendar days after the end of the 90‑day period.

8.2 Required information
Your notice should:
  • State that you are invoking the 90‑Day Challenge Guarantee.
  • Summarize why you are not satisfied with the growth results; and
  • Confirm that you have met the eligibility and implementation requirements.
8.3 Review and determination
Authority Engine will review the claim, may request reasonable additional information or data, and will respond within a commercially reasonable timeframe (for example, 15–30 days). If you are determined to be eligible, Authority Engine will coordinate with you to arrange the Cruise Benefit under Section 7.

9. Taxes and Regulatory Matters
9.1 Tax responsibility
Any and all taxes, duties, or governmental fees arising from the receipt or use of the Cruise Benefit, including but not limited to income or fringe‑benefit taxes, are solely your responsibility.​

9.2 Regulatory compliance
You are responsible for complying with any internal policies (e.g., corporate gift policies) and external regulations governing receipt of promotional travel or incentives in your industry or jurisdiction.

10. Modifications and Termination1
0.1 Prospective changes
Authority Engine may modify, suspend, or terminate the Promotion at any time with respect to future customers or future agreements. Such changes will not affect the rights of clients who already have a Service Agreement that explicitly incorporates this Promotion.

10.2 Force majeure
Authority Engine is not responsible for the inability to fulfill the Cruise Benefit where performance is prevented or materially impacted by events beyond its reasonable control (including natural disasters, pandemics, war, significant travel restrictions, or cruise‑line cancellations). In such cases, Authority Engine may substitute a benefit of comparable value or extend the redemption period.1

1. Limitation of Liability
To the fullest extent permitted by law, Authority Engine’s total liability arising out of or related to the Promotion and the Cruise Benefit, whether in contract, tort, or otherwise, is limited to the total fees paid by you under the applicable Service Agreement during the 90‑day period, plus the value of any Cruise Benefit actually provided. In no event will Authority Engine be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to this Promotion.​

12. Dispute Resolution and Governing Law1
2.1 Good‑faith resolution
The parties will first attempt in good faith to resolve any dispute arising from or related to the Promotion, the Cruise Benefit, or the Services through discussions between designated business representatives.

12.2 Governing law
This Promotion, the Service Agreement, and any dispute, claim, or controversy arising out of or relating to them, whether in contract, tort, or otherwise, will be governed by and construed in accordance with the laws of the State of Oklahoma, without giving effect to any choice‑of‑law or conflict‑of‑law rules that would result in the application of the laws of any other jurisdiction.​

12.3 Exclusive venue and jurisdiction
Subject to any arbitration requirement expressly set out in the Service Agreement, the parties agree that the state courts of the State of Oklahoma located in Oklahoma County, and the federal courts of the Western District of Oklahoma, will have exclusive jurisdiction over any action or proceeding arising out of or relating to the Promotion, the Cruise Benefit, or the Service Agreement. Each party irrevocably submits to the personal jurisdiction of such courts and waives any objection based on improper venue or forum non convenience.

12.4 Arbitration (if specified)
If the Service Agreement provides that disputes must be resolved by arbitration, such arbitration will be conducted in Oklahoma County, Oklahoma, under the rules specified in the Service Agreement, and Oklahoma law will govern the interpretation and enforcement of both the Service Agreement and these Terms.

13. Miscellaneous
13.1 Entire agreement regarding Promotion
These Terms, together with the Service Agreement and any referenced documents, constitute the entire understanding between the parties regarding the 90‑Day Challenge Guarantee and supersede any prior discussions or representations about the Promotion.

13.2 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 No waiver
Failure by Authority Engine to enforce any provision of these Terms will not constitute a waiver of that or any other provision.
